Website and Software Trademark, Copyright, and Intellectual Property Protection Information

All material available on the Money Management Solutions Inc. website, the Cash Flow Mojo® software website, all external third-party marketing and networking platforms, and the Cash Flow Mojo® software product is protected by copyright laws and international copyright treaty provisions. This material has been placed on the Internet sites under the authority of the copyright owner, Sandra S. Simmons, for the sole purpose of viewing of the materials by the users of this site. This Agreement is intended to protect the owner’s intellectual property, trade secrets, copyrights, trademarks, and confidential information in connection with the subscriber’s use of this platform and applies to all internal and external users included by the primary subscriber.

Definition of Confidential Information

“Confidential Information” includes, but is not limited to:

• All features, functions, workflows, user interfaces, screens, data structures, source code, algorithms, documentation, and business logic of Cash Flow Mojo®
• All proprietary business, technical, and financial information disclosed during or in connection with the Subscriber’s use of this service
• All trademarks, copyrights, and trade secrets related to Cash Flow Mojo® Confidential Information does not include information that:
• Is or becomes publicly available through no breach of this Agreement
• Was known to the Subscriber prior to disclosure
• Is disclosed to the Subscriber by a third party lawfully and without restriction

Non-Disclosure and Non-Use Obligations

The Subscriber agrees:

• Not to disclose, copy, reproduce, or distribute any Confidential Information to any third party

• Not to use Confidential Information for any purpose other than utilizing the software exactly as intended to manage the cash flow of their company
• Not to use Confidential Information to develop, directly or indirectly, any software or product that is similar to or competes with Cash Flow Mojo®
• Not to reverse engineer, decompile, or disassemble any aspect of the Software or Confidential Information.
• Not to incorporate any portion of the Confidential Information into any product, service, or process

Use-Specific Protections – No Recording, Screenshots, or Automated Capture

The Subscriber agrees:

• Not to record, photograph, or take screenshots of the software including all training tools
• Not to use any form of AI note-taking, screen capturing, or transcription tools during their use of the software. Users of the software are not authorized to download or transmit any of these materials electronically, or to otherwise reproduce any of the material in any form or by any means, electronic or mechanical, including data storage and retrieval systems, recording, printing or photocopying.
• Not to permit any other person or software to capture or reproduce any aspect of the software or training tools by any means

Intellectual Property Rights

• All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, in and to Cash Flow Mojo® and all related materials remain the exclusive property of Sandra S. Simmons.
• Nothing in this Agreement shall be construed as granting any license or right to the Subscriber except as expressly set forth herein.
• The Subscriber shall not remove, obscure, or alter any proprietary rights notices on any materials provided or shown

1. Post-Subscription Obligations and Restrictions

• Non-Compete: For 3 years post-subscription, the Subscriber shall not develop competing cash flow management software in Florida; the U.S. states, Canadian provinces, or countries outside the U.S./Canada where Sandra S. Simmons maintains localized operations such as the subsidiary company named Customer Finder Marketing which is an international online digital marketing agency, or dedicated customer support.
• Non-Solicit: Prohibition on soliciting Sandra S. Simmons employees, clients, affiliates, or partners.

1. Remedies and Enforcement

• Injunctive Relief: The Receiving Party acknowledges that breaches will cause irreparable harm, entitling the Disclosing Party to seek injunctive relief without bond.
• Liquidated Damages: $100,000.00 per violation for unauthorized use or derivative development. Each instance of unauthorized use, development, or disclosure constitutes a separate violation subject to liquidated damages.
• Legal Fees: The Receiving Party agrees to cover all legal costs incurred due to breaches.

1. Indemnification 

The Subscriber agrees to indemnify Sandra S. Simmons against all losses, damages, or costs arising from breaches of this addendum to the Terms Of Service Agreement.

1. Term and Survival

• Term: 3 years from the Effective Date.
• Survival: Confidentiality, IP, and non-compete obligations survive termination.

1. Governing Law

• This Terms Of Service Agreement is governed by the laws of Florida, with exclusive jurisdiction in Collier County.
• Both parties waive the right to a jury trial in any action arising from this Agreement.
• The Software is provided ‘as is,’ without warranties of merchantability, fitness for a particular purpose, or non-infringement.
• This Terms Of Service Agreement constitutes the entire understanding between the parties and supersedes all prior oral or written agreements.
• If any provision is deemed unenforceable, the remaining terms remain valid.

Trademark Information

The Money Management Solutions, Inc. logo and Dollar Sign Icon are Registered Trademarks owned by Sandra S. Simmons and are used with her permission. The Cash Flow Mojo® name and logo are registered trademarks and service marks  owned by Sandra S. Simmons and are used with her permission. All other product and brand names are trademarks or registered trademarks owned by their respective holders.

The slogan/tagline “It’s not ONLY how much money you make; it’s WHAT YOU DO WITH IT that determines your financial condition” is a trademark owned by Sandra S. Simmons and is licensed for use by Money Management Solutions, Inc. and used with her permission.

The slogan/tagline “Managed money works harder, goes further, and accomplishes more than money that is spent without a plan.” is a trademark owned by Sandra S. Simmons and is licensed for use by Money Management Solutions, Inc. and used with her permission.

Copyright Information

Money Management Solutions, Inc.’s products, services, web content and related materials (collectively, “Offerings”) are owned by Sandra S. Simmons and licensed to Money Management Solutions, Inc. and/or its distributors, and all rights in such Offerings are reserved by Sandra S. Simmons. For information regarding permission to use screen displays and other content, please contact the designated agent.

Persons who believe that their copyrights have been infringed via Money Management Solutions, Inc. sites may notify Money Management Solutions, Inc.’s Designated Agent. All notices must comply with the requirements of U.S. Copyright Act Section 512(d) and regulations promulgated thereunder, each as amended. Such notices not complying with these requirements will be returned unprocessed. No other notices of any type, including requests for information, purchase or technical support questions, notices of infringement of third-party trademark or patent rights, employment inquiries, press inquiries, or investor inquiries, will be read or answered under this Agent and Agent Address.
